HOUSBE, L.L.C. — Terms of Service (Version 1.0)

1. Preamble & Acceptance

These Terms of Service (“Terms”) govern your access to and use of the Platform and related services. By using the Platform, you agree to these Terms, the HOUSBE Privacy Policy (Version 1.0), and (if applicable) the HOUSBE Data Processing Addendum (DPA) (Version 1.0). If you use the Platform on behalf of a company or other legal entity, you confirm you are authorized to bind that entity. These Terms are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-law rules, and apply across all U.S. states, territories, and tribal jurisdictions.

2. Scope & Related Agreements; Changes to the Terms

2.1. Scope. These Terms apply to all Users of the Platform, including Licensed Agents, FSBO Sellers, Buyers, Renters, and Lenders.

2.2. Related Agreements. If you register in a specific role, the corresponding role-specific agreement also applies in addition to these Terms: Licensed Agents (HIAA Master Agreement or Platform Access Agreement), Lenders (Lender Access Agreement), FSBO Sellers (FSBO Seller Access Agreement), and Buyers & Renters (Buyer & Renter Access Agreement). Priority order: (1) role-specific agreement; (2) these Terms; (3) HOUSBE policies.

2.3. Changes. HOUSBE, L.L.C. may update these Terms at any time. Continued use after thirty (30) days constitutes acceptance.

3. Definitions

“User” means an individual or legal entity that has registered on, and has access to, the HOUSBE Platform under these Terms.

“Lead” means contact information of a potential client, delivered via the HOUSBE Platform upon selection and payment.

4. Eligibility

You must be legally eligible to use the Platform. Licensed Agents and Lenders must hold required licenses; FSBO Sellers must have authority to sell or market the property.

5. Accounts, Security & Acceptable Use

You are responsible for account credentials and all activity under your account. Prohibited conduct includes reselling Leads, scraping, reverse engineering, or unlawful use.

6. Leads

Leads are provided “as is” without guarantee. Remedy for invalid Leads is replacement within three (3) business days. HOUSBE may re-offer unclaimed Leads.

7. Fees, Billing & Cancellations

Subscriptions auto-renew monthly. Fees are non-refundable except as required by law. Pricing changes become effective thirty (30) days after notice.

8. No Brokerage; No Agency

HOUSBE, L.L.C. is not a real estate broker and does not act as agent for any party. No agency, partnership, or joint venture is created.

9. Compliance (TCPA, DNC, CAN-SPAM, Fair Housing, Licensing, MLS)

Users must comply with all applicable laws including telemarketing, fair housing, and licensing regulations. Required consents and opt-outs must be honored.

10. Privacy & Data; Data Processing Addendum (DPA)

Personal data is processed under applicable law, the HOUSBE Privacy Policy, and DPA. Breach notifications are made within 72 hours of discovery.

11. License to Use the Platform; Intellectual Property & Brand Use

Access is under a revocable, non-exclusive, non-transferable license. All intellectual property remains owned by HOUSBE, L.L.C. You may not use its trademarks without written consent.

12. Unique Listing Identifiers (HSBE-ID System)

Each listing is assigned a unique HSBE-ID for analytics and traceability. HOUSBE owns all data and may use or tokenize HSBE-IDs for internal or blockchain verification.

13. Disclaimers

The Platform is provided “as is,” without warranties. Tokenized listings are descriptive only; HOUSBE does not issue or broker tokens or fractional interests.

14. Limitation of Liability

HOUSBE, L.L.C. and its affiliates are not liable for indirect, incidental, or consequential damages. Maximum liability is the greater of (a) fees paid in the last 12 months or (b) $100.

15. Indemnification

You agree to indemnify and hold HOUSBE, L.L.C. harmless from any third-party claims arising from your breach or violation of law.

16. Dispute Resolution; Class Action Waiver

Disputes must first go to mediation in Broward County, Florida. Class or representative actions are waived.

17. Termination

HOUSBE, L.L.C. may suspend or terminate access at any time for violations or legal reasons.

18. Notices & Electronic Communications

You consent to receive electronic communications. Notices to HOUSBE, L.L.C.:

19. Special Terms by User Category

  • Licensed Agents: Governed by HIAA or Platform Access Agreement.
  • FSBO Sellers: Must confirm ownership; HOUSBE may remove violations.
  • Buyers: Responsible for due diligence.
  • Renters: Responsible for verifying rental terms and conditions.
  • Lenders: Must comply with applicable laws; Leads cannot be resold.

20. Order of Precedence

Priority order: role-specific agreement → these Terms → DPA → Privacy Policy → product guidelines.

21. Force Majeure

Neither party is liable for delays caused by events beyond reasonable control.

22. Export Controls & Sanctions

You warrant compliance with U.S. export control and sanctions laws.

23. Miscellaneous

Invalid provisions do not affect the remainder. No waiver of enforcement. You may not assign these Terms without consent. These Terms, Privacy Policy, and DPA form the entire agreement.

24. Addenda Clause

HOUSBE, L.L.C. may issue binding Addenda published at https://housbe.com/legal/addenda. Continued use signifies acceptance.
